Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the TurboBatch application, websites, and related services (collectively, the "Service") provided by CalyxBox LLC, an Illinois limited liability company located at 5667 Notting Hill Rd, Gurnee, IL 60031 ("CalyxBox," "we," "us," or "our"). By creating an account or using the Service, you ("you" or "Customer") agree to these Terms.
1. The Service
TurboBatch is a software-as-a-service production-tracking platform for mushroom farms. Features include batch lifecycle tracking, label generation, dashboard analytics, scheduled email reports, and multi-farm role-based access. Specific features and limits depend on the plan you select.
2. Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us at support@turbobatchmushrooms.com immediately if you suspect unauthorized access.
3. Plans, Fees & Billing
3.1 Plans
The Service is offered on a free tier and several paid tiers. Plan features and limits are described on our pricing page and in the application. We may modify plan features and pricing on prospective basis with reasonable notice; existing paid subscribers stay on their current price for the remainder of their billing period.
3.2 Payment
Paid plans are billed monthly in advance through our payment processor (Stripe). By providing a payment method you authorize CalyxBox and Stripe to charge it for the recurring fee on each renewal. Fees are non-refundable except as required by law.
3.3 Cancellation
You may cancel your subscription at any time from Settings → Plans & Billing. Cancellation takes effect at the end of the current billing period; you retain access until then. Free-tier accounts may be used indefinitely subject to plan limits.
3.4 Late Payments
If a payment fails, we may retry it, suspend access until payment is received, or downgrade your account to Free. Limit caps then apply to your existing data.
4. Customer Data
"Customer Data" means data, files, and content you (or your team members) submit to the Service. You retain all rights to your Customer Data. You grant CalyxBox a limited license to store, process, and transmit Customer Data solely as needed to operate the Service for you. You are responsible for the accuracy and legality of your Customer Data and for backing up anything you cannot afford to lose.
5. Acceptable Use
You agree not to:
- use the Service for any unlawful, harmful, fraudulent, or infringing purpose;
- reverse engineer, decompile, or otherwise attempt to extract the source code of the Service except to the extent permitted by applicable law;
- resell or sublicense the Service without our written consent;
- upload viruses, malware, or content that infringes third-party rights;
- circumvent or disable security features, rate limits, or access controls;
- use the Service to transmit unsolicited bulk email or spam.
6. Service Availability & Modifications
We work to keep the Service available continuously but do not guarantee uninterrupted operation. We may perform maintenance, deploy updates, or modify features at any time. We will give reasonable advance notice of material breaking changes when we can.
7. Termination
You may terminate your account at any time from Settings → Manage My Account. We may suspend or terminate your account for violation of these Terms or non-payment, with reasonable notice when feasible. On termination, paid features stop working at the end of your billing period and your data may be deleted after a reasonable retention period unless legal hold applies. You can export your data at any time before termination via the Download My Data feature.
8. Intellectual Property
The Service, including the TurboBatch name, logo, software, and documentation, is owned by CalyxBox LLC and is protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service while these Terms are in effect, solely for your internal business operations.
9. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. CalyxBox does not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by law, CalyxBox and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or in connection with the Service. Our total aggregate liability for any claim under these Terms will not exceed the greater of (a) the amount paid by you to CalyxBox for the Service in the twelve months preceding the claim, or (b) USD $100.
11. Indemnification
You agree to defend, indemnify, and hold harmless CalyxBox from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
12. Governing Law & Venue
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Lake County, Illinois, and the parties consent to the personal jurisdiction of those courts.
13. Changes to These Terms
We may update these Terms periodically. If a change is material, we will notify you by email or through an in-app notice at least 14 days before it takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
